Terms of Use

The terms that govern access to Magic Circle, including account responsibilities, acceptable use, customer content, and AI-assisted workflows.

Acceptance of these terms

These Terms of Use govern your access to and use of Magic Circle. By creating an account, accessing the service, or using the product on behalf of an organization, you agree to these terms.

If you use Magic Circle for an organization, you represent that you have authority to bind that organization to these terms.

Accounts and organization administration

You are responsible for maintaining accurate account information, protecting login credentials, configuring authentication settings, and managing access for users in your organization.

Organization administrators may control workspaces, files, projects, billing, integrations, permissions, and audit-related settings.

Each user must use their own account unless a separate written agreement allows a different access model. You must notify us promptly if you suspect unauthorized use, credential compromise, or any security incident affecting your workspace.

If there is a dispute over control of an organization, workspace, domain, billing account, or administrator role, we may suspend changes or rely on available account, billing, domain, and contractual evidence until the dispute is resolved.

Permitted use

You may use Magic Circle to upload, search, extract, analyze, summarize, classify, and organize documents for lawful business purposes.

You may not use the service to violate laws, infringe rights, compromise security, reverse engineer the product, overload infrastructure, bypass usage limits, scrape non-public features, or process content you are not authorized to use.

You may not upload or process content that is unlawful, fraudulent, defamatory, harassing, discriminatory, obscene, harmful to persons or property, infringing, or designed to introduce malware, credential theft, unauthorized surveillance, or system disruption.

We may remove content, disable integrations, suspend processing, or restrict access if we reasonably believe use of the service violates these terms, threatens security, or exposes TECHTACK, customers, or third parties to legal or operational risk.

Customer content

You retain ownership of documents, prompts, extracted data, outputs, and other content submitted to Magic Circle. You grant us the limited rights needed to host, process, transmit, display, and secure that content to provide the service.

You are responsible for ensuring that customer content may be lawfully uploaded, processed, shared, and connected to third-party integrations.

You control access to customer content through workspace settings, user roles, sharing controls, and connected services. Actions taken by users under your organization account are treated as actions authorized by that organization unless we are notified otherwise.

Magic Circle may process customer content through OCR, parsing, retrieval, AI model calls, indexing, search, export, and workflow automation to provide requested functionality.

AI-assisted outputs

Magic Circle uses AI and document-processing systems to assist with research, extraction, summarization, drafting, and analysis. Outputs may contain errors, omissions, or unsupported assumptions.

Magic Circle does not provide legal, financial, tax, compliance, or professional advice. Users must verify outputs before relying on them or sharing them externally.

Subscriptions and billing

Paid features, usage limits, billing intervals, taxes, renewals, cancellations, and refunds are governed by the plan selected at purchase or by a separate written agreement.

Usage may be measured by seats, organizations, projects, pages, files, storage, model usage, API calls, integrations, or other plan metrics. Some usage may be reconciled periodically after it occurs.

Unless otherwise agreed in writing, fees are non-refundable except where required by law or expressly stated in the applicable order form.

We may suspend or limit access for unpaid invoices, abusive usage, security risk, excessive unpaid usage, or violations of these terms.

Confidentiality and security

Each party should protect confidential information with reasonable care. Magic Circle applies safeguards designed for sensitive document workflows, including access controls and encryption.

You are responsible for configuring user permissions, managing connected accounts, and promptly reporting suspected unauthorized access.

Service changes and availability

We may update, improve, suspend, or discontinue features to maintain security, reliability, compliance, or product quality.

Material feature changes may be announced through the product, email, release notes, or customer-success channels when practical. Security fixes, minor improvements, and urgent maintenance may be released without advance notice.

Scheduled maintenance, infrastructure migration, backup activity, and emergency repairs may temporarily affect access. We aim to perform disruptive maintenance during lower-usage periods when commercially reasonable.

We aim to provide reliable access, but we do not guarantee uninterrupted or error-free service unless expressly stated in a separate written agreement or service-level commitment.

Warranties and limitation of liability

Magic Circle is provided on an as-is and as-available basis except to the extent a separate written agreement states otherwise. We do not warrant that the service will meet every requirement, operate without interruption, or correct every error.

To the maximum extent permitted by law, TECHTACK will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, or loss of data, arising from use of or inability to use the service.

Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud, intentional misconduct, or other non-excludable obligations.

Force majeure

Neither party will be responsible for delay or failure to perform caused by events beyond reasonable control, including natural disasters, epidemic, war, civil unrest, government action, widespread power failure, telecommunications outage, internet disruption, cloud provider incident, labor dispute, or other force majeure events.

The affected party should use commercially reasonable efforts to mitigate the impact and resume performance as soon as practical.

Termination

You may stop using Magic Circle at any time. We may suspend or terminate access if required by law, for security reasons, for non-payment, or for material breach of these terms.

After termination, customer content may be deleted or retained according to the Privacy Policy, product controls, and applicable legal requirements.

Sections concerning confidentiality, customer content, payment obligations, disclaimers, limitation of liability, dispute resolution, and any provisions intended to survive will remain effective after termination.

Governing law and disputes

The parties should first attempt to resolve disputes through good-faith discussion between authorized representatives.

Unless a separate written agreement states otherwise, these terms are governed by the laws of Vietnam, and disputes will be submitted to the competent courts of Vietnam.
